Question : Registration of Foreign Companies

(a) the details of new companies including foreign companies and one person companies registered in the country during the last two years;

(b) the details of trend noticed in the registration of foreign companies in the country;

(c) the details of foreign companies which have considered as vanishing companies during the said period; and

(d) the steps taken/being taken by the Government to prevent registration of vanishing companies?

(a) Number of new companies, one person companies and foreign companies (as defined under Section 2(42) of Companies Act, 2013) registered during Financial Year 2014-15 and Financial Year 2015-16 are as under:-

(b) The number of foreign companies registered in the country has increased from 3,439 (as on 31.03.2011) to 4,357 (as on 31.03.2016).

(c) There is no foreign company which has been categorised as Vanishing Company during the said period.

(d) The Companies Act, 2013 prescribes certain safeguards so as to prevent companies from vanishing. The Act mandates that individuals only having Director Identification Number (DIN), which is allotted on verification of ID and address proof can become director of company. Further, it also requires physical verification of registered office address of company by practicing professionals and intimation to the Registrar of Companies in the event of change in the address of registered office by the company. These provisions appear sufficient to ensure that companies and its directors are traceable.
